These Terms and Conditions ("Agreement") constitute a legally binding contract between you ("Member," "you," or "your") and Amata Inc. ("Amata," "we," "us," or "our"), a Delaware corporation with registered offices at 95 Wall Street, New York, NY 10005, United States, and 66 Avenue des Champs-Élysées, 75008 Paris, France. By accessing the Amata Spark Series program and completing the enrollment process, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety. If you do not agree to these terms, you must not enroll in or participate in the program.

1. Description of the Program

The Amata Spark Series (the "Program") is a premium, AI-assisted matchmaking program currently available exclusively in New York City. The Program is designed to facilitate in-person blind dates between compatible adult Members. The Program includes the following components:

Amata reserves the right to modify the format, features, and delivery method of the Program at its sole discretion, provided that the core matchmaking service is preserved.

2. Eligibility

To be eligible to participate in the Program, you must:

Amata reserves the right to deny enrollment or terminate a Member's participation at any time and without refund if eligibility criteria are not met or if the Member has provided materially false information.

3. Enrollment and Application Process

Enrollment in the Program requires completion of a multi-step application form, including disclosure of personal information such as date of birth, gender identity, preferences, location, social media handles, and availability. Upon completion of the application form, Members are required to pay the Program fee in full prior to activation of their account and commencement of AI coaching.

Submission of an application does not guarantee admission to the Program. Amata reserves the right to decline any application at its sole discretion, in which case any payment submitted will be refunded in full within fourteen (14) business days.

4. Fees and Payment

4.1 Program Fee

The fee for the Amata Spark Series Program is USD $120.00 (one hundred and twenty United States dollars), inclusive of all applicable taxes where required by law. This fee covers the full six-week Program including all dates, AI coaching, and the Mutual Spark Guarantee.

4.2 Payment Terms

Payment is due in full at the time of enrollment and must be made through the Stripe payment platform using a valid credit card, debit card, Apple Pay, or Google Pay. All transactions are processed securely by Stripe, Inc. Amata does not store your full payment card details.

4.3 No Partial Payment

The Program fee is not divisible. There are no instalment plans or partial payment arrangements available.

4.4 Currency

All fees are denominated and charged in United States Dollars (USD). International Members may be subject to foreign transaction fees imposed by their payment provider; Amata accepts no liability for such charges.

5. Cancellation and Refund Policy

5.1 Member Cancellation Before Program Commencement

If a Member wishes to cancel their enrollment prior to the commencement of their AI coaching period, a full refund will be issued provided the cancellation request is submitted in writing to contact@amata.ai within forty-eight (48) hours of payment. After this window, no refund will be issued.

5.2 No Refund After Program Commencement

Once the AI coaching period has commenced, the Program fee is non-refundable. This applies regardless of whether all six dates have taken place.

5.3 Individual Date Cancellation

Members may cancel or reschedule a specific date subject to the following conditions:

These cancellation terms exist to protect the experience of both Members involved in each date. Amata reserves the right to modify rescheduling rights in exceptional circumstances.

5.4 Cancellation by Amata

Amata reserves the right to cancel a scheduled date if the compatibility score between two matched Members falls below the minimum threshold (currently 75%). In such cases, the Member will be notified at least twenty-four (24) hours in advance and rematched the following available week. This event does not constitute a breach of contract and does not entitle the Member to a refund.

6. Mutual Spark Guarantee

Amata offers a Mutual Spark Guarantee subject to the following conditions:

Where all conditions are met, Amata will continue to organize additional blind dates for the Member at no additional charge, up to a maximum of twelve (12) total dates (inclusive of the original six). The Mutual Spark Guarantee does not entitle the Member to a monetary refund under any circumstances.

7. Scheduling and Dates

All dates are scheduled on Tuesday evenings, commencing at 8:00 PM Eastern Standard Time, at venues in Manhattan, New York City selected by Amata. The Member will receive the venue name, address, and their match's first name and a compatibility note the evening prior to each date.

By enrolling in the Program, the Member confirms that they are available for a minimum of six (6) Tuesday evenings from the cohort schedule selected during enrollment. Amata does not guarantee the specific Tuesday dates and reserves the right to substitute dates within the same cohort period in exceptional circumstances.

All dates take place in public venues. Amata does not provide transportation, cover the cost of food or beverages, or assume any liability for expenses incurred during a date.

8. Member Conduct and Safety

All Members are expected to behave with respect, dignity, and good faith throughout the Program. By enrolling, Members agree to:

Amata reserves the right to terminate any Member's participation in the Program immediately and without refund upon violation of these conduct standards.

9. Safety Screening and Verification

Prior to activation of any Member's Program, Amata conducts identity verification and moderation screening. This may include review of social media profiles provided during enrollment. Amata does not conduct formal criminal background checks and makes no warranty regarding the conduct of any individual Member. Members participate in all dates at their own risk. Amata provides a dedicated support team available to address concerns at contact@amata.ai.

10. Privacy and Data

By enrolling in the Program, you consent to the collection, processing, and storage of your personal data as necessary to deliver the Program. This includes but is not limited to your name, contact information, demographic data, preferences, and post-date debrief content. Your data is used solely for the purpose of operating the matchmaking program and improving the AI system. Amata will never sell your personal data to third parties. 11. Intellectual Property

All content, technology, branding, and AI systems associated with the Amata Spark Series are the exclusive intellectual property of Amata Inc. Members may not reproduce, distribute, or commercially exploit any element of the Program without prior written consent from Amata.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Amata's total liability to any Member arising out of or related to the Program shall not exceed the amount paid by the Member for the Program. Amata shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of participation in the Program, including but not limited to damages related to the outcome of any date, the compatibility of any match, or the conduct of any other Member.

13. Disclaimers

Amata does not guarantee romantic compatibility, a relationship, or any particular outcome from participation in the Program. The Program is provided "as is" and Amata makes no warranty, express or implied, that participation will result in any romantic or emotional outcome. The AI coaching system is designed to improve matching quality over time but does not guarantee a specific level of compatibility on any individual date.

14. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of laws provisions. Any dispute arising under or relating to this Agreement shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, disputes shall be submitted to binding arbitration in New York City under the rules of the American Arbitration Association.

15. Amendments

Amata reserves the right to amend these Terms and Conditions at any time. Members will be notified of material changes by email. Continued participation in the Program following notification of changes constitutes acceptance of the revised terms.
